By accessing or using AdminShield ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms constitute a legally binding agreement between you and AdminShield. We may update these terms from time to time and will notify you of significant changes.

AdminShield provides an AI-powered business admin and compliance platform for UK small and medium-sized businesses. The Service includes email triage, compliance calendar, document generation, filing assistance and related features. The Service is provided on a subscription basis with monthly plans and optional AI action credit top-ups.

To use AdminShield, you must create an account with a valid email address. You are responsible for: - Providing accurate and complete information - Maintaining the security of your account credentials - All activity that occurs under your account - Notifying us immediately of any unauthorised access You must be at least 18 years old and have authority to enter into contracts on behalf of your business.

AdminShield offers a free plan and paid subscription plans. Paid plans are billed monthly in advance. Prices are in GBP and include VAT where applicable. AI action credits are non-refundable and do not expire. Unused monthly plan actions do not roll over to the next month. We reserve the right to change pricing with 30 days' notice. You may cancel your subscription at any time and will retain access until the end of the current billing period.

You agree not to use AdminShield to: - Violate any UK or international laws or regulations - Infringe the intellectual property rights of others - Transmit spam, malware or harmful content - Attempt to gain unauthorised access to our systems - Use the Service for any unlawful or fraudulent purpose - Resell or redistribute access to the Service without our written permission We reserve the right to suspend or terminate accounts that violate these terms.

AdminShield uses artificial intelligence to generate email replies, compliance summaries, documents and other content. You acknowledge that: - AI-generated content may contain errors and should be reviewed before use - AdminShield is not a law firm and does not provide legal or tax advice - Compliance information is provided for guidance only — you remain responsible for your own filings - You should always verify compliance deadlines and requirements with HMRC and Companies House directly

When you connect Gmail or Outlook, you grant AdminShield permission to read and send emails on your behalf. You can revoke this permission at any time from your account settings or from your Google/Microsoft account settings. We access your emails solely to provide the email triage feature and do not store email content beyond what is needed to generate AI responses.

AdminShield and its content, features and functionality are owned by AdminShield and are protected by UK and international intellectual property laws. You retain ownership of all data and content you input into the Service. You grant us a limited licence to process your data to provide the Service.

To the maximum extent permitted by UK law, AdminShield shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities. Our total liability to you for any claim arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim. Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.

Either party may terminate the Service at any time. You may delete your account from Settings. We may suspend or terminate your account if you breach these terms, with or without notice depending on the severity. Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days, subject to legal retention requirements.

These Terms of Service are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
